PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING DOCDYNAMICS.
These Terms of Service (“Terms”) constitute a legally binding agreement between you and DocDynamics, Inc. (“DocDynamics,” “we,” “us,” or “our”) governing your access to and use of DocDynamics websites, software, applications, document-processing platform, artificial intelligence and automated processing features, professional or managed services, and related products and services (collectively, the “Services”).

These Terms govern general access to and use of the Services.
Certain customers may enter into additional agreements with DocDynamics, including a master services agreement, order form, statement of work, data processing agreement, confidentiality agreement, service-level agreement, or other written agreement (“Customer Agreement”).
If there is a conflict between these Terms and an executed Customer Agreement concerning the same subject matter, the executed Customer Agreement will control to the extent of the conflict.
The DocDynamics Privacy Policy also applies to the processing of Personal Information through the Services.

Access to certain Services requires an account.
You agree to provide accurate and current account information and to maintain the confidentiality and security of your account credentials.
Accounts and login credentials are intended for the individual authorized user to whom they are issued and may not be shared except where DocDynamics expressly permits shared or service accounts.
You are responsible for activities occurring through your account to the extent permitted by applicable law.
Customers are responsible for managing their authorized users and determining the permissions granted to those users.
Customers must promptly remove or modify access when a user no longer requires access to the Services.
You must promptly notify DocDynamics at info@docdynamics.ai if you become aware of:
- unauthorized access to an account;
- compromised credentials;
- suspected unauthorized use of the Services; or
- another security incident that may affect DocDynamics or Customer Data.
DocDynamics may suspend or restrict access when reasonably necessary to protect the security or integrity of the Services, Customer Data, DocDynamics, our customers, or other users.
4. Customer Data
“Customer Data” means documents, files, records, information, data, images, text, and other materials submitted to, uploaded to, transmitted through, or otherwise made available to DocDynamics by or on behalf of a customer in connection with the Services.
4.1 Customer Ownership
As between DocDynamics and the customer, the customer retains all rights, title, and interest it has in Customer Data.
DocDynamics does not acquire ownership of Customer Data merely because Customer Data is uploaded to or processed through the Services.
4.2 Limited Rights to Process Customer Data
The customer grants DocDynamics a limited right to host, copy, transmit, access, modify, analyze, transform, organize, classify, extract from, redact, validate, store, display, export, and otherwise process Customer Data solely as reasonably necessary to:
- provide the Services;
- perform requested document-processing operations;
- comply with customer instructions;
- maintain and secure the Services;
- provide support;
- diagnose and correct errors;
- prevent fraud, abuse, or security incidents;
- comply with applicable law; and
- exercise DocDynamics’ rights and obligations under applicable agreements.
This authorization ends when DocDynamics no longer requires the Customer Data for these purposes, subject to applicable retention requirements, backups, security records, legal obligations, and the applicable Customer Agreement.
4.3 Customer Responsibilities
Customers are responsible for Customer Data submitted to the Services.
The customer represents and warrants that it has all rights, permissions, consents, notices, and other lawful authority necessary to:
- possess and use the Customer Data;
- provide the Customer Data to DocDynamics;
- authorize DocDynamics to process the Customer Data; and
- instruct DocDynamics to provide the requested Services.
Customers are responsible for determining whether the Services are appropriate for their regulatory, contractual, privacy, confidentiality, data residency, recordkeeping, and other obligations.
5. Confidentiality
Each party may receive non-public business, financial, technical, operational, or other confidential information from the other party (“Confidential Information”).
Customer Data constitutes Confidential Information of the customer.
Non-public information concerning DocDynamics’ software, architecture, technology, pricing, security, product functionality, business operations, and proprietary methods constitutes Confidential Information of DocDynamics.
Each receiving party will:
- use Confidential Information only as necessary to perform or exercise its rights under the applicable agreement;
- use reasonable measures to protect Confidential Information;
- limit access to persons who have a legitimate need to know the information and are subject to appropriate confidentiality obligations; and
- not disclose Confidential Information except as permitted by these Terms, an applicable Customer Agreement, or law.
Confidential Information does not include information that the receiving party can demonstrate:
- is or becomes publicly available through no breach of an obligation;
- was lawfully known without confidentiality restrictions before disclosure;
- is received lawfully from another source without confidentiality restrictions; or
- is independently developed without use of the other party’s Confidential Information.
If disclosure is legally required, the receiving party may disclose the minimum information legally required and, where legally permitted and reasonably practicable, provide notice to the disclosing party.
6. Artificial Intelligence and Automated Processing
Certain Services use artificial intelligence, machine learning, optical character recognition, rules-based systems, or other automated technologies (“Automated Processing”).
Automated Processing may analyze Customer Data and generate classifications, extracted information, detected fields, document categories, redactions, validations, flags, summaries, recommendations, or other results (“Outputs”).
6.1 No Customer Data Training
DocDynamics does not use Customer Data to train DocDynamics’ artificial intelligence models.
DocDynamics does not authorize third-party artificial intelligence providers to use Customer Data to train their general-purpose artificial intelligence models.
DocDynamics may use aggregated, statistical, operational, or de-identified information that does not identify a customer, individual, transaction, or Customer Data to operate, evaluate, secure, and improve the Services.
6.2 AI and Automated Output Limitations
Artificial intelligence and automated systems are probabilistic and may produce errors.
Outputs may be inaccurate, incomplete, outdated, incorrectly classified, improperly extracted, or otherwise unreliable.
Outputs must be independently reviewed and validated where appropriate before being relied upon for a material decision.
DocDynamics does not represent that Automated Processing will identify every:
- missing document;
- document type;
- error;
- signature;
- date;
- data field;
- duplicate;
- sensitive data element;
- redaction target;
- compliance issue;
- inconsistency; or
- other condition contained within Customer Data.
Customers remain responsible for determining whether Outputs are sufficiently accurate and complete for their intended use.
7. No Professional Advice or Decision-Making
DocDynamics provides document-processing technology and related services.
DocDynamics is not a law firm, accounting firm, investment adviser, broker-dealer, lender, credit-rating agency, appraisal firm, regulatory consultant, or other professional adviser merely by providing the Services.
The Services and Outputs do not constitute:
- legal advice;
- accounting advice;
- tax advice;
- investment advice;
- lending advice;
- underwriting approval;
- appraisal advice;
- compliance certification;
- regulatory advice; or
- a recommendation to enter into any transaction.
Customers are responsible for obtaining appropriate professional advice and conducting their own review and diligence.
DocDynamics should not be the sole basis for a lending, underwriting, investment, acquisition, disposition, compliance, legal, or other material business decision.
8. Third-Party Services and Amazon Bedrock
The Services may integrate or interoperate with third-party applications, infrastructure, storage systems, artificial intelligence services, cloud platforms, APIs, or other third-party products (“Third-Party Services”).
A customer may elect to enable or use certain Third-Party Services, including supported services such as Amazon Bedrock.
Where a customer selects or authorizes a Third-Party Service, Customer Data necessary to perform the requested functionality may be transmitted to or processed through that service.
Customer use of a Third-Party Service may also be governed by separate terms, privacy policies, configurations, security practices, and contractual commitments applicable to that service.
DocDynamics does not control independent Third-Party Services and is not responsible for acts or omissions of a Third-Party Service provider outside DocDynamics’ reasonable control.
DocDynamics may add, modify, replace, suspend, or discontinue integrations where reasonably necessary, including for security, technical, legal, provider, or operational reasons.
9. Acceptable Use and Prohibited Activities
You may use the Services only for lawful business purposes and in accordance with these Terms.
You may not use or attempt to use the Services to:
- violate applicable law or regulation;
- infringe or misappropriate intellectual property, privacy, publicity, confidentiality, or other rights;
- process information you do not have lawful authority to possess or process;
- upload malware, viruses, malicious code, or destructive content;
- gain unauthorized access to systems, accounts, networks, or data;
- circumvent authentication, access controls, permissions, usage limits, or security measures;
- interfere with or disrupt the integrity, security, availability, or performance of the Services;
- conduct unauthorized penetration testing, vulnerability scanning, or security testing;
- reverse engineer, decompile, disassemble, or attempt to discover source code or non-public underlying components of the Services except to the limited extent such restrictions are prohibited by law;
- scrape or systematically extract information from the Services through unauthorized automated means;
- use the Services to develop a competing product through unauthorized copying or extraction of proprietary functionality;
- use DocDynamics software, Outputs, documentation, or proprietary materials to train an artificial intelligence or machine-learning model without our written authorization;
- impersonate another person or misrepresent your authority;
- share credentials with unauthorized persons;
- upload content that is unlawful, fraudulent, malicious, or intentionally deceptive; or
- assist another person in doing any of the foregoing.
DocDynamics may investigate suspected violations and may suspend or terminate access when reasonably necessary.
10. Security Responsibilities
DocDynamics will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.
Customers remain responsible for:
- securing their own devices and networks;
- maintaining appropriate account permissions;
- protecting credentials;
- configuring integrations appropriately;
- managing authorized users;
- reviewing account activity where appropriate;
- securing exported or downloaded data; and
- notifying DocDynamics of suspected unauthorized access.
No system can guarantee absolute security, and DocDynamics does not warrant that unauthorized access or security incidents will never occur.
11. Intellectual Property
Except for Customer Data and third-party materials, DocDynamics and its licensors retain all rights, title, and interest in and to the Services and related technology, including:
- software;
- source and object code;
- workflows;
- interfaces;
- designs;
- algorithms;
- processing methods;
- documentation;
- databases;
- models;
- templates;
- configurations;
- trademarks;
- logos;
- inventions;
- improvements; and
- other proprietary materials.
These Terms provide a limited right to access and use the Services during the applicable subscription or authorized access period.
No ownership interest in DocDynamics technology or intellectual property is transferred to a customer or user under these Terms.
12. Feedback
If you voluntarily provide suggestions, ideas, enhancement requests, recommendations, or other feedback concerning the Services (“Feedback”), you grant DocDynamics the right to use that Feedback to operate, develop, improve, and commercialize its products and services without restriction or compensation to you.
Feedback does not include Customer Data or the customer’s Confidential Information.
13. Fees and Payment
Fees for paid Services will be established through the applicable order form, subscription, proposal, statement of work, Customer Agreement, or other purchasing arrangement.
Unless otherwise stated in an applicable agreement:
- fees are due according to the applicable invoice or ordering terms;
- customers are responsible for applicable taxes other than taxes based on DocDynamics’ net income; and
- failure to pay amounts when due may result in suspension or termination of paid Services following any applicable notice or cure period.
If a Customer Agreement contains different payment terms, that agreement controls.
14. Privacy and Data Protection
DocDynamics processes Personal Information in accordance with its Privacy Policy and applicable Customer Agreements.
Where required or agreed, the parties may enter into a separate Data Processing Agreement governing processing of Personal Information contained within Customer Data.
Customers remain responsible for determining whether their use of the Services complies with privacy, confidentiality, data-protection, data-residency, and other requirements applicable to them.
15. Service Availability and Modifications
DocDynamics will use commercially reasonable efforts to maintain the availability and functionality of the Services.
However, unless expressly stated in an applicable written service-level agreement, DocDynamics does not guarantee any specific percentage of uptime or uninterrupted availability.
Services may be temporarily unavailable because of:
- scheduled or emergency maintenance;
- software updates;
- infrastructure failures;
- cybersecurity events;
- failures of third-party providers;
- internet or telecommunications failures;
- force majeure events; or
- circumstances beyond DocDynamics’ reasonable control.
DocDynamics may modify the Services over time as technology, customer requirements, security needs, laws, and business operations evolve.
16. Beta, Preview, and Evaluation Features
DocDynamics may make certain features available on a beta, preview, trial, evaluation, or early-access basis.
Unless otherwise agreed in writing, such features may be modified or discontinued at any time and are provided for testing and evaluation.
Beta or preview features may contain additional errors, limitations, or interruptions and should not be relied upon for mission-critical purposes unless DocDynamics expressly agrees otherwise in writing.
17. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXCEPT AS EXPRESSLY PROVIDED IN AN APPLICABLE CUSTOMER AGREEMENT, THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
DOCDYNAMICS DISCLAIMS ALL WARRANTIES NOT EXPRESSLY PROVIDED IN WRITING, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
DOCDYNAMICS DOES NOT WARRANT THAT:
- THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE;
- ALL DEFECTS WILL BE CORRECTED;
- EVERY DOCUMENT WILL BE CORRECTLY CLASSIFIED;
- EVERY DATA FIELD WILL BE ACCURATELY EXTRACTED;
- EVERY ERROR, MISSING DOCUMENT, DUPLICATE, SIGNATURE, DATE, SENSITIVE INFORMATION ELEMENT, OR OTHER CONDITION WILL BE IDENTIFIED;
- EVERY REDACTION WILL IDENTIFY OR REMOVE EVERY SENSITIVE DATA ELEMENT;
- OUTPUTS WILL BE COMPLETE OR ACCURATE; OR
- THE SERVICES WILL SATISFY EVERY CUSTOMER’S LEGAL, REGULATORY, COMPLIANCE, UNDERWRITING, OR BUSINESS REQUIREMENTS.
CUSTOMERS ARE RESPONSIBLE FOR REVIEWING OUTPUTS AND MAINTAINING APPROPRIATE HUMAN OVERSIGHT.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER DOCDYNAMICS NOR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, OR ANTICIPATED SAVINGS, ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
EXCEPT FOR LIABILITY THAT CANNOT LAWFULLY BE LIMITED, DOCDYNAMICS’ AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:
(A) THE AMOUNTS PAID OR PAYABLE BY THE APPLICABLE CUSTOMER TO DOCDYNAMICS FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR
(B) ONE THOUSAND DOLLARS ($1,000) IF NO FEES WERE PAID FOR THE APPLICABLE SERVICES.
The limitations in this Section apply regardless of the form of action, whether in contract, tort, negligence, strict liability, statute, or otherwise, to the maximum extent permitted by law.
An applicable Customer Agreement may establish different liability limitations, in which case that Customer Agreement controls.
19. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless DocDynamics and its affiliates, officers, directors, employees, and agents from third-party claims, damages, liabilities, losses, costs, and reasonable attorneys’ fees arising from or relating to:
- Customer Data that you provide without sufficient rights or authority;
- your unlawful use of the Services;
- your material violation of these Terms;
- your infringement or violation of another person’s intellectual property, privacy, confidentiality, or other rights; or
- your intentional misconduct or fraud.
This Section does not require indemnification to the extent a claim was caused by DocDynamics’ own conduct for which liability cannot lawfully be excluded.
An applicable Customer Agreement may contain different or mutual indemnification obligations, in which case that agreement controls.
20. Term and Termination
These Terms apply from the date you first access or use the Services and continue until terminated as described below.
If you access the Services without a paid subscription, either party may terminate at any time. You may stop using the Services; DocDynamics may discontinue your access on reasonable notice.
Where a Customer Agreement governs a paid subscription, the term, renewal, and termination provisions of that agreement control.
DocDynamics may suspend or terminate access, in whole or in part, where:
- you materially breach these Terms or an applicable Customer Agreement and do not cure the breach within any applicable notice period;
- amounts due remain unpaid following notice;
- continued access presents a security, legal, or regulatory risk to DocDynamics, its customers, or other users; or
- required by applicable law, regulation, or legal process.
Where practicable and legally permitted, DocDynamics will provide notice before suspending or terminating access.
On termination, your right to access and use the Services ends. Return, export, or deletion of Customer Data is governed by the applicable Customer Agreement or Data Processing Agreement. Where no such agreement applies, DocDynamics will make Customer Data available for export for a reasonable period following termination, after which it may be deleted in accordance with Section 10 of the Privacy Policy.
The following survive termination: Sections 4 (Customer Data), 5 (Confidentiality), 6.1 (No Customer Data Training), 7 (No Professional Advice or Decision-Making), 11 (Intellectual Property), 12 (Feedback), 13 (Fees and Payment) as to amounts accrued, 17 (Disclaimers), 18 (Limitation of Liability), 19 (Indemnification), and this Section 20 and Sections 21 through 25.
21. Governing Law and Venue
These Terms, and any dispute arising out of or relating to them or to the Services, are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.
The parties submit to the exclusive jurisdiction of the state and federal courts located in Palm Beach County, Florida, and each party waives any objection to venue in those courts on grounds of inconvenient forum.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
Where an applicable Customer Agreement specifies a different governing law or venue, that agreement controls.
22. Dispute Resolution
Before filing a claim, each party agrees to notify the other in writing describing the dispute and the relief sought, and to attempt in good faith to resolve it through discussion between representatives with authority to settle. If the dispute is not resolved within thirty (30) days of that notice, either party may proceed.
Nothing in this Section prevents either party from seeking injunctive or other equitable relief at any time to protect its intellectual property, Confidential Information, or data security, or from bringing a claim for unpaid amounts.
Each party bears its own costs and attorneys’ fees unless an applicable Customer Agreement or applicable law provides otherwise.
23. Assignment
You may not assign or transfer these Terms, or any rights or obligations under them, without DocDynamics’ prior written consent, and any attempted assignment without that consent is void.
DocDynamics may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all of its assets, or to an affiliate, on notice to you.
These Terms bind and benefit the parties and their permitted successors and assigns.
24. Force Majeure
Neither party is liable for any delay or failure to perform resulting from causes beyond its reasonable control, including acts of God, natural disaster, fire, flood, epidemic, war, terrorism, civil unrest, labour dispute, governmental action, failure of utilities or telecommunications, internet or hosting provider failure, cybersecurity events originating outside the affected party’s systems, or failure of a third-party service provider.
This Section does not excuse any obligation to pay amounts already due.
25. General
Entire agreement. These Terms, together with the Privacy Policy and any applicable Customer Agreement, Data Processing Agreement, or order form, constitute the entire agreement between the parties regarding the Services and supersede all prior or contemporaneous understandings on that subject.
Order of precedence. In the event of a conflict, an executed Customer Agreement controls over these Terms, and these Terms control over any other DocDynamics document, unless expressly stated otherwise.
Severability. If any provision is held unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions remain in full force.
No waiver. A party’s failure or delay in enforcing any provision is not a waiver of that provision or of any other right.
No third-party beneficiaries. These Terms do not confer any rights on any person other than the parties and their permitted successors and assigns.
Independent contractors. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
Notices. Notices to DocDynamics may be sent to info@docdynamics.ai. Notices to you may be sent to the email address associated with your account or posted within the Services.
Changes to these Terms. DocDynamics may update these Terms from time to time. Material changes take effect on the updated “Last Updated” date above, and where required by law or an applicable agreement, we will provide additional notice. Continued use of the Services after an update constitutes acceptance of the updated Terms.
Export and sanctions. You represent that you are not located in, and will not use the Services from, a jurisdiction subject to comprehensive trade sanctions, and that you are not a person with whom dealings are prohibited under applicable export control or sanctions laws.
